Statement of Work

This Statement of Work ("SOW") is issued under and subject to the Master Services Agreement ("MSA") executed between XXXX SYLSA LLC ("Agency") and XXX SCIMAX ("Client"), effective as of April 15, 2026. This SOW outlines the specific services, deliverables, timeline, and compensation for the XXX SCIMAX Enterprise UX Revamp project.

1. Project Overview & Objectives

The Client requires a comprehensive User Experience (UX) and User Interface (UI) modernization for their core enterprise environment. The primary objective is to transition from legacy, long-form scrolling data entry interfaces to a modern, step-by-step wizard architecture that minimizes cognitive load, reduces error rates, and aligns with premium enterprise design standards.

2. Scope of Services

The Agency will perform the following phases of work over an estimated 90-day period:

Phase 1: UX Audit & Discovery Research

  • In-depth review of the current XXX SCIMAX platform architecture to map user friction points and workflow gaps.
  • Stakeholder interviews (up to 5 sessions) to map business constraints and user workflows.
  • Delivery of a UX Audit Report highlighting friction points and proposed structural solutions.

Phase 2: Information Architecture & Wireframing

  • Structural blueprints replacing long scrolling forms with logical, step-by-step wireframes and navigation paths.
  • Low-fidelity wireframing of core dashboards and primary data entry flows.
  • Structural review and sign-off sessions with the Client's engineering team.

Phase 3: High-Fidelity UI & Prototyping

  • Final visual screens designed perfectly for enterprise data.
  • Design of complex data tables, form skeletons, error states, and success validations.
  • Creation of a fully clickable, high-fidelity Figma prototype simulating the end-to-end user journey for validation.

Phase 4: Component Library & Design System

  • A master design system of reusable buttons, tables, and fields to accelerate all future engineering workflows.
  • Documentation of design tokens (spacing grids, color hierarchies).
  • Final handoff sessions with the Client's front-end developers to ensure accurate implementation.

3. Deliverables Summary

4. Out of Scope

The following items are explicitly excluded from this SOW:

  • Front-end coding or back-end development (HTML/CSS/JS/React/Angular implementation).
  • Corporate marketing website redesign.
  • Copywriting for the platform interface beyond standard placeholder text.

5. Optional Post-Delivery Implementation Support

While front-end development and coding are excluded from the core deliverables of this SOW, the Agency can provide post-delivery support to assist the Client's front-end engineering team in bringing the code and interface live. This is an optional service and will strictly be provided only if required and mutually agreed upon by both Parties after the final delivery. Any such implementation support will be scoped, approved, and billed under a separate Change Request or new Statement of Work.

6. Assumptions & Dependencies

The successful and timely execution of this SOW is based on the following assumptions and dependencies. Any deviation may impact the timeline and total cost:

  • Access to Subject Matter Experts (SMEs): Client will make required internal stakeholders and SMEs available for scheduled discovery and feedback sessions without unreasonable delay.
  • Timely Approvals: Client review and feedback periods will not exceed two (2) business days per milestone submission.
  • System Access: Client will provide uninterrupted access to the current staging/sandbox environments for auditing purposes.
  • Brand Guidelines: Client will provide all existing branding guidelines (logos, core colors) prior to the commencement of Phase 3. These guidelines will remain stable throughout the duration of the project.

7. Project Timeline

The project is estimated to be completed in 90 days from the official kickoff date, contingent upon timely feedback and approvals from the Client. Delays in Client approval exceeding the agreed-upon review period may result in corresponding extensions to the final delivery date.

8. Compensation and Payment Terms

USD INR

The total fixed fee for the services described in this SOW is $9,360 USD (exclusive of applicable taxes). Payment shall be made at the completion of each project phase, with the exception of the first phase, which requires a 50% advance to initiate the project. The payment schedule is as follows:

All invoices are strictly Net 15 days. The Agency reserves the right to pause work if milestone payments are delayed beyond the specified terms.

9. Project Governance & Communication

To maintain alignment and transparency, the following governance structure will be implemented:

  • Status Meetings: A weekly 30-minute sync will be held via Video Conference to discuss progress, blockers, and next steps.
  • Communication Channels: Day-to-day communication will be managed via a dedicated shared Slack/Microsoft Teams channel.
  • Design Feedback: Asynchronous design feedback will be collected directly within Figma comments to maintain a single source of truth.

10. Client Responsibilities

To ensure the successful and timely completion of the project, the Client agrees to:

  • Provide access to the existing XXX SCIMAX environment and necessary testing credentials.
  • Appoint a single point of contact (Product Owner) with the authority to consolidate internal feedback and provide final sign-offs on deliverables.

11. Change Management Process

Any requests for changes to the Scope of Services (Section 2) or Deliverables (Section 3), including the addition of new features, modules, or significant architectural pivots after a phase has been approved, must be managed through a formal Change Request (CR) process.

The Agency will evaluate the requested change and provide a written CR document outlining the impact on the project timeline and additional costs (billed at the Agency's standard rate of $60 USD/hour, or a flat fee). Work on the requested changes will not commence until the CR is signed by both Parties.

12. Acceptance Criteria

Deliverables will be presented to the Client for review. The Client shall have three (3) business days to review and accept or reject the deliverable in writing. Rejections must include specific details regarding non-conformance with the scope defined in Section 2. If the Client does not respond within the review period, the deliverable shall be deemed automatically accepted.

Each phase allows for a maximum of two (2) minor revision rounds prior to final approval. Revisions requested outside these rounds will trigger the Change Management Process (Section 11).

13. Intellectual Property

Upon receipt of full and final payment for all milestones outlined in Section 8, the Agency assigns all rights, title, and interest in the final, approved design deliverables (Figma files, exported assets) to the Client, as governed by the overarching MSA. The Agency retains the right to display the final designs in their portfolio for promotional purposes unless expressly prohibited by a separate NDA.

14. Term and Termination

This SOW shall commence on the Effective Date and remain in effect until all deliverables are accepted and final payment is received, or until terminated in accordance with the terms of the MSA. In the event of early termination by the Client without cause, the Client shall pay for all work completed up to the date of termination, plus a 15% cancellation fee based on the remaining unbilled project balance.
