This Statement of Work ("SOW") is issued under and subject to the Master Services Agreement ("MSA") executed between XXXX SYLSA LLC ("Agency") and XXX SCIMAX ("Client"), effective as of April 15, 2026. This SOW outlines the specific services, deliverables, timeline, and compensation for the XXX SCIMAX Enterprise UX Revamp project.
The Client requires a comprehensive User Experience (UX) and User Interface (UI) modernization for their core enterprise environment. The primary objective is to transition from legacy, long-form scrolling data entry interfaces to a modern, step-by-step wizard architecture that minimizes cognitive load, reduces error rates, and aligns with premium enterprise design standards.
The Agency will perform the following phases of work over an estimated 90-day period:
The Client will receive the following tangible assets upon completion of the respective project phases:
| Deliverable | Associated Phase | Format |
|---|---|---|
| UX Audit & Strategy Report | Phase 1 | PDF Document |
| Low-Fidelity Wireframes | Phase 2 | Figma File |
| High-Fidelity Interactive Prototype | Phase 3 | Figma Link (Playable) |
| Master Design System & Component Library | Phase 4 | Figma File with Dev-Mode |
| Asset Export Pack (Icons, Vectors) | Phase 4 | .ZIP (SVG, PNG) |
The following items are explicitly excluded from this SOW:
While front-end development and coding are excluded from the core deliverables of this SOW, the Agency can provide post-delivery support to assist the Client's front-end engineering team in bringing the code and interface live. This is an optional service and will strictly be provided only if required and mutually agreed upon by both Parties after the final delivery. Any such implementation support will be scoped, approved, and billed under a separate Change Request or new Statement of Work.
The successful and timely execution of this SOW is based on the following assumptions and dependencies. Any deviation may impact the timeline and total cost:
The project is estimated to be completed in 90 days from the official kickoff date, contingent upon timely feedback and approvals from the Client. Delays in Client approval exceeding the agreed-upon review period may result in corresponding extensions to the final delivery date.
| Phase | Estimated Duration | Target Completion |
|---|---|---|
| 1. UX Audit & Discovery | 14 Days | Kickoff + 2 Weeks |
| 2. IA & Wireframing | 21 Days | Kickoff + 5 Weeks |
| 3. High-Fidelity UI | 30 Days | Kickoff + 9 Weeks |
| 4. Component Library / Handoff | 25 Days | Kickoff + 12 Weeks (90 Days) |
The total fixed fee for the services described in this SOW is $9,360 USD (exclusive of applicable taxes). Payment shall be made at the completion of each project phase, with the exception of the first phase, which requires a 50% advance to initiate the project. The payment schedule is as follows:
| Milestone Phase | Amount | Invoicing Trigger |
|---|---|---|
| Phase 1: Advance Payment (50% of Phase 1) | $1,020 | Upon execution of SOW (Required to Kick-off) |
| Phase 1: Completion (50% of Phase 1) | $1,020 | Upon delivery and approval of UX Audit Report |
| Phase 2: IA & Wireframing | $2,520 | Upon delivery and approval of final Wireframes |
| Phase 3: High-Fidelity UI & Prototyping | $3,300 | Upon delivery and approval of Interactive Prototypes |
| Phase 4: Component Library (Design System) | $1,500 | Upon delivery of final Figma files and Design System |
All invoices are strictly Net 15 days. The Agency reserves the right to pause work if milestone payments are delayed beyond the specified terms.
To maintain alignment and transparency, the following governance structure will be implemented:
To ensure the successful and timely completion of the project, the Client agrees to:
Any requests for changes to the Scope of Services (Section 2) or Deliverables (Section 3), including the addition of new features, modules, or significant architectural pivots after a phase has been approved, must be managed through a formal Change Request (CR) process.
The Agency will evaluate the requested change and provide a written CR document outlining the impact on the project timeline and additional costs (billed at the Agency's standard rate of $60 USD/hour, or a flat fee). Work on the requested changes will not commence until the CR is signed by both Parties.
Deliverables will be presented to the Client for review. The Client shall have three (3) business days to review and accept or reject the deliverable in writing. Rejections must include specific details regarding non-conformance with the scope defined in Section 2. If the Client does not respond within the review period, the deliverable shall be deemed automatically accepted.
Each phase allows for a maximum of two (2) minor revision rounds prior to final approval. Revisions requested outside these rounds will trigger the Change Management Process (Section 11).
Upon receipt of full and final payment for all milestones outlined in Section 8, the Agency assigns all rights, title, and interest in the final, approved design deliverables (Figma files, exported assets) to the Client, as governed by the overarching MSA. The Agency retains the right to display the final designs in their portfolio for promotional purposes unless expressly prohibited by a separate NDA.
This SOW shall commence on the Effective Date and remain in effect until all deliverables are accepted and final payment is received, or until terminated in accordance with the terms of the MSA. In the event of early termination by the Client without cause, the Client shall pay for all work completed up to the date of termination, plus a 15% cancellation fee based on the remaining unbilled project balance.
IN WITNESS WHEREOF, the parties hereto have caused this Statement of Work to be executed by their duly authorized representatives as of the Effective Date first written above.
